Terms of sale

Vizioa subscriptions are intended for professionals acting for the purposes of their business. Consumer protection provisions, including the right of withdrawal, do not apply.

The contractual documents are, in order of priority: these terms of sale, the terms of use and the privacy policy.

The engines included in every plan are: ChatGPT, Claude, Perplexity, Gemini, Google AI Overviews, Google AI Mode and Microsoft Copilot. This list may change depending on the availability of their providers' services.

White-label client portals, announced as upcoming, are not part of the current plans until they are offered for subscription.

A free trial is offered before subscribing to a paid plan; its duration and conditions are shown in the application when the account is created. The free agency plan includes 3 audits a month, with the “Powered by Vizioa” mention on reports.

Prices are expressed in euros, excluding taxes. As Modernova Studio LLC is established outside the European Union, VAT is not charged: VAT-registered customers account for the tax in their own country under the reverse charge mechanism.

Prices may change. Any change is notified by email 30 days before it applies, and takes effect from the following billing period. Customers who refuse it may cancel before that date.

The subscription is taken out online from the application: account creation, plan selection, acceptance of these terms and payment. The contract is formed upon payment confirmation.

The subscription is payable in advance, by card, through the payment provider Stripe, according to the chosen frequency: monthly or annual. The charge renews automatically at each due date.

An invoice is issued for each payment and made available in the billing area of the account.

If a payment fails, the customer is informed by email. Without settlement within 7 days, access to the service may be suspended.

The subscription is taken out for one month or one year, depending on the chosen billing frequency. It renews automatically at each due date. Monthly billing has no commitment.

Customers may cancel at any time from their account or by email to contact@modernova.studio. Cancellation takes effect at the end of the current billing period, monthly or annual depending on the chosen frequency. Amounts paid for the period started are not refunded.

Customers may change plans during the subscription. The change takes effect immediately and the price is adjusted pro rata for the current period.

Vizioa is a measurement tool. Modernova Studio LLC is bound by a best-efforts obligation in providing the service.

Vizioa does not guarantee any result: no visibility, mention, citation or position in the engines' answers. It does not establish any cause-and-effect link between an action by the customer and changes in results.

Answers are obtained through APIs and vary from one execution to the next. They can differ from what a logged-in user sees. Results are directional: comparable over time, not absolute.

Fixing and producing content are not part of the subscription. Separate human support may be offered by Modernova on request.

The service is provided without a guarantee of permanent availability. It depends on the engine providers' APIs, whose changes or interruptions may delay or prevent some measurements.

Modernova Studio LLC's liability is limited to proven direct damages. It does not cover indirect damages such as loss of revenue, customers or reputation. In any event, it is capped at the amounts paid by the customer over the last twelve months.

Modernova Studio LLC is not responsible for the content of answers produced by third-party engines, nor for decisions made by the customer based on the results.

Customers remain the owners of the data they enter. After the subscription ends, their data is kept for 30 days and then deleted.

The processing of personal data is described in the privacy policy.

Neither party is liable for a failure caused by a force majeure event, including a lasting interruption of the engine providers' APIs.

These terms may be changed. Customers are informed by email 30 days before the change takes effect. The applicable terms are those in force at the start of each billing period.

These terms are governed by the law of the State of Wyoming (United States). In case of dispute, the parties will seek an amicable solution. Failing that, the dispute falls under the competent courts of that State.
