Terms of sale

Vizioa subscriptions are intended for professionals acting for the purposes of their business. [To be approved: exclusion of consumers or specific provisions, including the right of withdrawal.]

The contractual documents are, in order of priority: the accepted quote (Agence plan), these terms of sale, the terms of use, the privacy policy and [data processing agreement, if applicable].

The engines included in every plan are: ChatGPT, Claude, Perplexity, Gemini, Google AI Overviews, Google AI Mode and Microsoft Copilot. This list may change depending on the availability of their providers' services.

Options announced as upcoming (daily frequency, PDF report, white label) are not part of the current plans until they are offered for subscription.

The Agence plan is subject to a quote. No free trial is offered.

Prices are expressed in euros, excluding taxes. [Applicable VAT regime and invoicing mentions to be confirmed with your tax adviser.]

Prices may change. Any change is notified by email [notice period] before it applies, and takes effect from the following monthly period. Customers who refuse it may cancel before that date.

The subscription is taken out online from the application: account creation, plan selection, acceptance of these terms and payment. The contract is formed upon payment confirmation.

The subscription is payable monthly in advance, by card, through the payment provider Stripe. The charge renews automatically at each monthly due date.

An invoice is issued for each payment and made available [availability terms to be confirmed].

If a payment fails, the customer is informed by email. Without settlement within [period], access to the service may be suspended. [Late payment penalties and fixed recovery fee, to be approved under the applicable law.]

The subscription is monthly with no commitment. It renews automatically every month.

Customers may cancel at any time [from their account or by email to contact@modernova.studio — terms to be confirmed]. Cancellation takes effect [at the end of the current monthly period — to be confirmed]. [No prorated refund for the period started — to be confirmed.]

Vizioa is a measurement tool. Modernova Studio LLC is bound by a best-efforts obligation in providing the service.

Vizioa does not guarantee any result: no visibility, mention, citation or position in the engines' answers. It does not establish any cause-and-effect link between an action by the customer and changes in results.

Answers are obtained through APIs and vary from one execution to the next. They can differ from what a logged-in user sees. Results are directional: comparable over time, not absolute.

Fixing and producing content are not part of the subscription. Separate human support may be offered by Modernova on request.

The service is provided without a guarantee of permanent availability. It depends on the engine providers' APIs, whose changes or interruptions may delay or prevent some measurements. [Service level commitment, if applicable.]

Modernova Studio LLC's liability is limited to proven direct damages. It does not cover indirect damages such as loss of revenue, customers or reputation. [Liability cap to be approved, for example the amounts paid by the customer over the last 12 months.]

Modernova Studio LLC is not responsible for the content of answers produced by third-party engines, nor for decisions made by the customer based on the results.

Customers remain the owners of the data they enter. After the subscription ends, their data is kept for [period] and then deleted. [Option to export data before deletion, to be confirmed.]

The processing of personal data is described in the privacy policy.

Neither party is liable for a failure caused by a force majeure event, including a lasting interruption of the engine providers' APIs.

These terms may be changed. Customers are informed by email [notice period] before the change takes effect. The applicable terms are those in force at the start of each monthly period.

These terms are governed by [governing law to be approved]. In case of dispute, the parties will seek an amicable solution. Failing that, the dispute falls under [competent jurisdiction to be approved].
